These Terms of Service govern your use of the Kaizen Skyline Services website and all logistics, compliance, and aviation services we provide.
1. Acceptance of Terms
- By accessing our website or engaging Kaizen Skyline Services for any freight, logistics, aviation, or compliance service, you agree to be bound by these Terms of Service.
- If you do not agree with any part of these terms, you must not use our services or website.
- These terms apply to all clients, visitors, and users of our website and services.
2. Services Provided
- Kaizen Skyline Services provides freight forwarding (air, sea, road), customs clearance, aviation logistics (including AOG support), regulatory compliance advisory, and business setup services.
- All services are subject to availability, applicable regulations, and the specific terms agreed in individual service agreements or quotations.
- We act as a freight forwarder and logistics intermediary. Actual carriage is performed by contracted airlines, shipping lines, road carriers, and customs brokers.
- Service terms, timelines, and rates quoted are valid for the period stated in the quotation. Quotes are not binding until confirmed in writing.
3. Client Responsibilities
- You are responsible for providing accurate, complete, and timely information regarding your shipments, cargo nature, declared value, and documentation.
- You must ensure that all goods tendered for shipment are lawful, properly packaged, and correctly described in accordance with applicable regulations.
- You are responsible for ensuring compliance with export control laws, sanctions, and import regulations at the destination country.
- Misdeclaration of cargo, value, or nature is a serious offence and may result in penalties, seizure of goods, and termination of our services.
4. Liability & Limitations
- Our liability for loss, damage, or delay to cargo is limited to the lower of the actual value or the limits prescribed by applicable conventions (Warsaw Convention, Hague-Visby Rules, CMR) or our standard trading conditions.
- We are not liable for delays caused by customs authorities, regulatory holds, force majeure events, acts of god, strikes, or circumstances beyond our control.
- We are not liable for consequential, indirect, or punitive losses including loss of business, revenue, or profits.
- Cargo insurance is the responsibility of the shipper unless specifically arranged through Kaizen Skyline Services as a separate service.
- Claims for loss or damage must be notified in writing within 7 days of delivery (or expected delivery) and supported with documentation.
5. Payment Terms
- All invoices are due within the credit period stated in the invoice or agreed in writing. Standard payment terms are 15 days from invoice date unless otherwise agreed.
- We reserve the right to charge interest on overdue amounts at 18% per annum (1.5% per month).
- We hold a lien over cargo and documents in our possession until all outstanding amounts are settled.
- Rates are subject to fuel surcharges, currency adjustments, and carrier-imposed surcharges which may change without notice.
6. Dangerous Goods & Restricted Items
- Dangerous goods must be declared in full and handled in accordance with IATA DGR, IMDG Code, or applicable road transport regulations.
- We reserve the right to refuse any shipment that we believe poses a safety, legal, or reputational risk.
- Prohibited items include but are not limited to: contraband, narcotics, counterfeit goods, weapons, and items banned under Indian or international law.
7. Intellectual Property
- All content on this website including text, graphics, logos, and software is the property of Kaizen Skyline Services and protected by applicable intellectual property laws.
- You may not reproduce, distribute, or create derivative works from our content without prior written permission.
8. Governing Law & Disputes
- These Terms of Service are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts of Gurugram, Haryana.
- We encourage resolution of disputes through direct negotiation or mediation before pursuing legal proceedings.
- Nothing in these terms limits our right to seek injunctive or other equitable relief in any court of competent jurisdiction.
9. Changes to Terms
- We reserve the right to update these Terms of Service at any time. Changes will be posted on this page with a revised effective date.
- Continued use of our services after changes constitutes acceptance of the updated terms.
- For material changes, we will make reasonable efforts to notify existing clients via email.
